Consulting contracts

This entry is for the amusement of other consultants...

An old customer called me up this morning to do a rush job. He mentioned that I had to sign a NDA and consulting contract - no problem, or so I thought!

I read through the NDA, and it was very standard. No problem.

Then I started to read the consulting contract, and it contained several clauses that I would never agree to:

  • requires me to get a 1 million dollar insurance policy for professional liability, naming the customer as benficiary
  • if the customer is not paid by their customers for any reason, then they do not have to pay their contractors
  • etc....

Anyway, the message is clear: read contracts carefully before you sign them, and do not be shy about deleting any clauses that do not sound fair. I have read and signed close to 100 NDAs and consulting contracts and I always take the time to read them carefully. If in doubt, either pass on the work or hire a lawyer.

Anyway, my old customer does not seem to mind that I modified the conttract.
