Filers are asked to access the Department’s Web site: www.commerce.utah.gov to click on “Corporations.” To file for termination of a UCC 1 that is on file with the Division, business people may now go online to submit a termination statement or UCC 3. Under Revised Article 9, a termination statement requires very basic information and no signature, which makes termination a perfect fit for an online filing program.
Similar to the termination statement, Continuations require minimal information and no signature. Continuations are filed when a UCC 1 reaches its five-year life cycle and the secured transaction is still valid. Once the continuation or UCC 3 is filed, another life cycle of five years is added to the filing. Continuations must be timed correctly to be effective. The continuation must be filed with the Division within the six-month window prior to lapse date.
